These Terms of Use (hereinafter referred to as “these Terms”) set forth the conditions for the use of the services (hereinafter referred to as “the Services”) provided by Company Sangatsukokonoka Inc. (hereinafter referred to as “the Company”). These Terms apply to all users and applicants for registration who use the Services (each defined in Article 2). Users who do not agree to these Terms may not use the Services.
- Purpose and Application
- These Terms are intended to define the rights and obligations between the Company and users concerning the use of the Services, and shall apply to all relationships between the Company and users in connection with the use of the Services.
- If the Company establishes individual terms or additional provisions relating to the Services, and if such provisions conflict with these Terms, the individual or additional provisions shall prevail.
- Definitions
The terms used in these Terms shall be defined as follows:
- “Services” means the collective term for services designated by the Company to be provided to users, including but not limited to: communication support and appointment management between users and affiliated medical institutions, provision of information regarding Company-affiliated facilities available to users, transportation arrangements for physicians providing home visits, and other services provided by the Company.
- “Applicant for Registration” means an individual who wishes to use the Services.
- “User” means an individual who has completed registration as a user of the Services.
- “Affiliated Medical Institution” means hospitals, clinics, or other healthcare facilities, and the physicians belonging thereto, that provide home visits and other medical services through the Services.
- “Home Visit Services” means examinations, medical treatment, prescription of medications, related medical information provision, and any other medical services provided by Affiliated Medical Institutions through the Services.
- Amendments to These Terms
The Company may, at its sole discretion, change or add to the content of these Terms at any time.
Revised Terms shall be posted on the Services or on the Company’s website.
- Service Fee
A fee of ¥132,000 (tax included) shall be paid by credit card.
- Use of the Services
- Users shall apply for the Services in accordance with these Terms and the conditions for use separately established by the Company.
- When applying for the Services, users shall guarantee the accuracy of all registration information and any other information provided to the Company.
- During the effective period of the service agreement, if there are any changes to the registration information, users shall promptly notify the Company in the manner prescribed by the Company. The Company shall bear no liability whatsoever for damages incurred by the user as a result of failure to provide such notification.
- Users shall provide the Company with any information that the Company deems necessary for the provision or maintenance of the Services.
- Home Visit Services may be provided only when the Affiliated Medical Institution determines that such services are necessary in relation to the user’s application for the Services.
- Home Visit Services are provided by Affiliated Medical Institutions, not by the Company.
- Fees are required for Home Visit Services, and users must pay such fees directly to the Affiliated Medical Institution.
- Prohibited Acts
Users shall not engage in any of the following acts in connection with the use of the Services:
- Acts that violate these Terms.
- Acts that violate laws or regulations, or acts related to criminal activity.
- Fraudulent or threatening acts against the Company or third parties.
- Acts contrary to public order and morals.
- Acts related to antisocial activities or providing benefits to antisocial forces.
- Acts that infringe the intellectual property rights, portrait rights, privacy rights, honor, or any other rights or interests of the Company or third parties.
- Defamation or slander against the Company or third parties.
- Unauthorized access to, or attempts to illegally access, the Company’s networks or systems.
- Impersonating a third party, misrepresenting one’s relationship with another individual or entity, or concealing one’s identity.
- Acts that cause disadvantage, damage, or discomfort to the Company or third parties.
- Unless expressly permitted by these Terms or separately authorized by the Company, reproducing, selling, publishing, or otherwise using information obtained through the Services.
- Acts that damage or may damage the credibility of the Company.
- Reproducing, distributing, or disclosing any part of the Services.
- Modifying or reverse-engineering programs related to the Services or the Company’s website, or using network monitoring or detection software to analyze the site architecture.
- Collecting or obtaining personally identifiable information through the Services.
- Unless expressly permitted by these Terms or separately authorized by the Company, using the Services for commercial purposes or for the benefit of third parties.
- Any other acts deemed inappropriate by the Company.
- Changes, Suspension, or Interruption of the Services
- The Company may, at its discretion and without prior notice to the user, change the contents of the Services or discontinue the provision of the Services.
- The Company may terminate the provision of the Services at its discretion by notifying users in advance.
- The Company may temporarily suspend or interrupt the Services, in whole or in part, without prior notice to users if any of the following events occur:
- When regular or emergency inspection or maintenance work is carried out on computer systems related to the Services.
b. When the provision of the Services becomes difficult due to communication failures, unauthorized access, or other unforeseen circumstances.
c. When security issues arise concerning users in relation to the Services.
d. When the operation of the Services becomes impossible due to force majeure, including earthquakes, lightning, fire, storms, floods, power outages, natural disasters, epidemics, wars, conflicts, or orders from governmental authorities.
e. When the lawful operation of the Services becomes difficult.
f. Any other cases in which the Company reasonably determines that suspension or interruption is necessary.
The Company shall not be liable for any damages incurred by users due to measures taken under this Article.
- Termination of Use
- Users may terminate their use of the Services at any time. In such cases, users will lose access to the Services from the time the termination becomes effective as determined by the Company.
- If users hold any outstanding obligations to the Company at the time of termination, all such obligations must be fully settled.
- When a user terminates use of the Services, the user agrees that any user information or related data within the Services may be deleted without prior notice, at the Company’s discretion.
- Termination by the Company
If a user falls under any of the following items, the Company may restrict the user’s access to the Services or terminate the service agreement without prior notice or demand:
- Violation of any provision of these Terms or any guaranteed matter.
- Suspension of payment, inability to pay, or commencement of bankruptcy, civil rehabilitation, or similar proceedings.
- Death or commencement of guardianship, curatorship, or assistance.
- Failure to respond for seven (7) days to inquiries or requests for information from the Company.
- Any other case in which the Company determines the user to be inappropriate.
The Company shall not be liable for any damages incurred by users due to measures taken under this Article.
- Intellectual Property Rights
All intellectual property rights related to the Services belong to the Company or third parties who have granted the Company permission to use such rights.
Neither the execution of the service agreement nor the permission to use the Services shall be construed as granting any license regarding the intellectual property rights related to the Services.
- Disclaimer of Warranties and Limitation of Liability
- The Company provides the Services on an “as-is” basis. The Company makes no warranties, whether express or implied, regarding the Services, including but not limited to:
– fitness for a particular purpose,
– expected accuracy, usefulness, truthfulness, merchantability, safety, or suitability,
– compliance with laws or regulations.
- The Company has no obligation to store registration information or any other information provided by users.
- The Company shall bear no responsibility for any services, information, or personal information management provided by third parties offering external services integrated with the Services.
- In no event shall the Company be liable for any damages, losses, or violations of rights arising from hacking, tampering, unauthorized access, or misuse of the Services or user accounts, regardless of the circumstances.
- Users shall resolve, at their own cost and responsibility, any transactions, communications, disputes, or other issues arising between users and third parties in connection with the use of the Services. The Company shall bear no responsibility for such matters.
- Except in cases of willful misconduct or gross negligence by the Company, the Company shall not be liable for any damages—whether direct or indirect—arising from or related to the Services, including but not limited to ordinary damages, special damages, incidental damages, indirect damages, loss of profits, or damages arising from third-party claims.
- Contact Information
The Company shall provide notices or communications relating to the Services to users by phone using the number provided by the user, through the screen of the Services, or by email sent to the address provided by the user.
- Confidentiality
- Users shall strictly manage and store any information disclosed by the Company that is designated as confidential (“Confidential Information”), and shall not use such information for any purpose other than the use of the Services.
- Notwithstanding the preceding paragraph, the following information shall not be considered Confidential Information:
- Information already possessed by the user at the time of disclosure;
- Information that was already public at the time of disclosure;
- Information that becomes public after disclosure through no fault of the user;
- Information obtained legally from a third party without a confidentiality obligation;
- Information independently developed or acquired by the user without reliance on the disclosed information.
- Users shall use Confidential Information only within the scope necessary for the use of the Services and shall not disclose, leak, reproduce, or modify any Confidential Information beyond such scope without the prior written consent of the Company.
However, if disclosure is required by a court order or applicable laws, the user may disclose the information to the extent necessary.
- If a user discloses Confidential Information pursuant to the exception in the preceding paragraph, the user shall notify the Company in advance of the fact and content of such disclosure.
- Upon termination of the service agreement or upon request by the Company, users shall return or destroy all Confidential Information, including all documents and media containing such information and all copies thereof, in accordance with the Company’s instructions.
- Handling of Personal Information
Users agree that, in providing the Services, the Company may obtain and use personal information, information voluntarily entered or provided by users in connection with the use of the Services, and any other information specified in the Company’s Privacy Policy.
- Exclusion of Antisocial Forces
- Users represent and warrant that they are not, and will not in the future become, members of antisocial forces, and that none of the following items apply to them:
- Having relationships in which antisocial forces are used unjustly for the purpose of obtaining illicit benefits for oneself or a third party, or for harming a third party;
- Providing funds or other benefits to antisocial forces while knowing their nature, or otherwise being involved with them;
- Having relationships with antisocial forces that are socially reprehensible.
- Users further represent and warrant that they will not, either directly or through a third party, engage in any of the following acts:
- Violent demands;
- Unreasonable demands exceeding legal responsibilities;
- Threatening behavior or use of violence in connection with transactions;
- Spreading rumors, using deception or force to damage the Company’s credibility or obstruct its business;
- Any acts similar to those listed above.
- If a user violates any provision of this Article, the Company may immediately terminate the service agreement without any prior notice or demand.
- Even if damages arise for the user due to termination under the preceding paragraph, the Company shall bear no liability.
Furthermore, the Company may claim compensation from the user for any damages incurred by the Company as a result of such termination.
- Governing Law and Jurisdiction
- These Terms and the use of the Services shall be governed by and construed in accordance with the laws of Japan.
- Any disputes arising out of or in connection with these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
